By accessing or using the services provided by Simpl-E ("we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all clients, visitors, and others who access or use our services.
Simpl-E provides website design, development, and ongoing digital maintenance services for small and local businesses. Services include, but are not limited to: website design and development, hosting coordination, SEO setup, monthly Care Plan maintenance, and consultation services. Specific deliverables, timelines, and pricing for each engagement are outlined in the individual project proposal or agreement provided to the client prior to the start of work.
Website design and development projects require a 50% deposit before work begins, with the remaining balance due upon project completion and prior to site launch. Monthly Care Plans (retainer subscriptions) are billed in advance on a recurring monthly basis via Stripe. All prices are listed in U.S. dollars. Invoices are due upon receipt. Simpl-E reserves the right to pause or suspend work on any project with outstanding balances older than 14 days.
Deposits for design and development projects are non-refundable once work has commenced. If a client cancels a project before work begins, a full refund of the deposit will be issued within 10 business days. Monthly Care Plan subscriptions may be cancelled at any time; however, no partial-month refunds will be issued. Cancellations take effect at the end of the current billing period. Simpl-E does not guarantee specific business outcomes (e.g., search rankings, revenue increases) as a result of our services.
Clients are responsible for providing accurate information, timely feedback, and all necessary materials (logos, copy, images, credentials) required to complete the project. Delays in providing materials may result in adjusted timelines. Simpl-E is not responsible for project delays caused by client inaction. Clients are responsible for maintaining the security of any credentials shared with Simpl-E for the purpose of project work.
Upon receipt of full payment, the client receives full ownership of the final website design and all custom content created specifically for their project. Simpl-E retains the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing. Any third-party tools, plugins, themes, or stock assets used may be subject to their own licensing terms. Simpl-E retains ownership of all proprietary tools, workflows, and methodologies used in delivering services.
Simpl-E shall not be held liable for any indirect, incidental, special, or consequential damages resulting from the use of — or inability to use — any services we provide. Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by the client to Simpl-E in the three months preceding the claim. Simpl-E is not responsible for data loss, security breaches, or downtime caused by third-party hosting providers, plugins, or services outside of our control.
Either party may terminate an ongoing service agreement with 30 days written notice. Simpl-E reserves the right to terminate services immediately if a client engages in abusive behavior toward our team, violates these terms, or fails to make payment after reasonable notice. Upon termination, the client will receive all deliverables completed and paid for up to the termination date.
Simpl-E reserves the right to update or modify these Terms of Service at any time. Clients will be notified of material changes via email. Continued use of our services after such changes constitutes your acceptance of the new terms. The most current version of these terms will always be available on our website.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Fulton County, Georgia.
